Databank - General Terms & Conditions

These terms govern your access to and use of Databank, operated by Elevate Market Intelligence Limited (company number 16329736), registered office 6 Lucky Lane, Exeter, EX2 4UJ ("Elevate", "we", "us"). By signing up for or using Databank, you ("you", the "Customer") agree to these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
1. Definitions
"Databank" means our online service that lets you build filtered, property and address-level audience lists, set triggers and notifications on data updates, and integrate via our API.
"Data" means the data we make available through Databank, including property and address-level data and planning application data.
"Outputs" means the audience lists, segments and notifications you generate using the Data.
"Data Protection Laws" means the UK GDPR, the Data Protection Act 2018, the Privacy and Electronic Communications Regulations 2003 ("PECR") and all other applicable data protection and privacy laws.
2. Account and eligibility
2.1 You must register an account and give accurate information. You are responsible for all activity under your account and for keeping your credentials secure.
2.2 Databank is for business use. These terms apply to the individual or company that signs up, only.
3. Licence to use the Data
3.1 We grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Data and Outputs solely for your own internal business and marketing purposes, for as long as your account is active and you comply with these terms.
3.2 The licence is personal to you, the signed-up user or company. It does not extend to any other person, group company, agency, client or other third party unless we agree in writing.
4. Restrictions
You must not:
(a) resell, sublicense, distribute, publish, share or otherwise make the Data available to any third party;
(b) use the Data other than for your own internal business purposes;
(c) use the Data to build, train or populate any product or dataset that competes with Databank, or to create a general database of the Data;
(d) scrape, bulk-export or extract the Data beyond your permitted use, or exceed reasonable API usage limits;
(e) reverse engineer or attempt to derive the source of the Data or the underlying software; or
(f) use the Data or Outputs in any way that breaches any law, including Data Protection Laws, PECR and direct-marketing rules.
5. Our right to recall and to suspend
5.1 We may suspend or withdraw your access to all or part of the Data and require you to stop using and delete it (a "recall") where: (a) you are in breach of these terms; (b) we reasonably believe our own rights or licences to provide the Data are or may be affected, restricted or withdrawn; or (c) a licensor, regulator or law requires it.
5.2 On a recall, you must stop using the recalled Data immediately and delete it, and any copies and any Outputs that contain it, within 5 business days, and confirm deletion if we ask.
5.3 We may suspend, restrict, cancel or void your account or any free trial at any time at our discretion. We will give reasonable notice where we can, but need not where we reasonably consider prompt action necessary (for example, on a recall or suspected breach).
6. Your responsibilities and data protection
6.1 You are the controller of any Outputs and any personal data you create or use from the Data. You must comply with all Data Protection Laws and PECR, establish your own lawful basis, and carry out your own assessments (including any data protection impact assessment) for your use, including any direct mail or other marketing.
6.2 We make available address-level data and do not store or sell personal data beyond what is necessary to operate Databank. We are not responsible for how you use the Data or Outputs.
7. No warranty
7.1 The Data (including planning and property data sourced from third parties) and Databank are provided "as is" and "as available". We do not warrant the accuracy, completeness, timeliness or fitness for any purpose of the Data, the Outputs or the service, and we do not guarantee uninterrupted access.
8. Fees and payment
8.1 Access to Databank may be free or paid, as described on our website. Pricing, plans and features are set out on our website and may change from time to time.
8.2 Paid plans are billed through our payment processor, Stripe, for the plan you select. You authorise us, via Stripe, to charge the applicable fees. Except where the law requires, fees are non-refundable.
8.3 We may offer free trials and may change, cancel or void a free trial at any time.
9. Intellectual property
9.1 We and our data licensors own all rights in Databank and the Data. You receive only the licence in clause 3.
10. Changes to these terms and the service
10.1 We may change these terms from time to time. We will post the updated terms and, where a change is material, take reasonable steps to notify you. Your continued use after the change takes effect means you accept the updated terms; if you do not accept them, you must stop using Databank.
10.2 We may change, suspend or discontinue any part of Databank.
11. Term and termination
11.1 These terms apply for as long as you have an account or use Databank.
11.2 You may stop using Databank and close your account at any time. We may suspend or terminate your access as set out in clause 5.
11.3 On termination or recall, your licence ends and you must stop using and delete the Data and any Outputs containing it (subject to the timing in clause 5.2). Clauses 4, 5, 6, 7, 9, 12 and 13 survive termination.
12. Liability
12.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law.
12.2 Subject to clause 12.1, we are not liable for any indirect or consequential loss, or for loss of profit, revenue, data, goodwill or business.
12.3 Subject to clause 12.1, our total liability arising under or in connection with these terms is limited to the greater of (a) the fees you paid us in the 12 months before the claim, and (b) £100.
12.4 We are not liable for your use of the Data or Outputs, including any breach by you of Data Protection Laws or marketing laws.
13. General
13.1 We may assign these terms; you may not without our consent.
13.2 If any provision is unenforceable, the rest continues in force.
13.3 These terms are the entire agreement between you and us about Databank.
13.4 A person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 1999.
13.5 These terms are governed by the law of England and Wales, and are subject to the exclusive jurisdiction of the courts of England and Wales.
